Dear Mr. Genius,

The following contract between Solitary Software (the Company) and the undersigned, Paul Genius (Employee) outlines the terms of a noncompete agreement.

For good deference and as an incentive for the Company to offer employment, the Employee agrees not to compete either directly or indirectly with any of the business practices or products of the Company during the employment period and for a term of (NUMBER) years following the termination of employment for any reason.

For purposes of this agreement, the term “not to compete” specifies that the Employee or former employee shall not own, operate, manage, or participate otherwise in the conception or management of a business that is the same as or essentially so to or competitive with any of the current products or services of the Company, or any products or services the Company may develop during the Employee’s term of employment.
